Welcome to Mitorioshi.

These Terms of Service govern your access to and use of the Mitorioshi website, online store, digital products and related services.

Mitorioshi provides digital productivity resources designed primarily for students, graduates and professionals.

By purchasing a Mitorioshi  product or using our website, you agree to these Terms together with our Privacy Policy and Refund Policy.

If you do not agree to these Terms, you should not purchase or use our products or services.

1. About Mitorioshi

Mitorioshi is a trading name used to provide downloadable digital productivity products.

Our products may include:

  • Digital guides

  • Editable planners

  • Worksheets

  • Checklists

  • AI prompt libraries

  • Productivity templates

  • Educational support materials

  • Career-planning resources

  • Bundled digital collections

Our online store is powered by Shopify.

Purchases made from the Mitorioshi store are contracts between you and Mitorioshi, not Shopify.

2. Eligibility

You must be at least 18 years old or otherwise legally capable of entering into the purchase contract applicable in your jurisdiction.

You must provide accurate information when making a purchase.

You are responsible for maintaining the security of any customer account you create.

3. Our Digital Products

Mitorioshi sells digital products rather than physical goods unless a product page expressly states otherwise.

Product pages will describe the main contents and characteristics of the relevant product.

Depending on the product, your purchase may contain:

  • PDF files

  • Editable Word documents

  • ZIP packages

  • Worksheets

  • Templates

  • AI prompts

  • Examples

  • Checklists

  • Other downloadable resources

Colours and appearance may vary slightly depending on the device, software or screen used to view a product.

Nothing in these Terms removes your statutory rights where digital content is faulty, not as described or otherwise fails to comply with applicable consumer law.

4. Software and Compatibility

You are responsible for checking the compatibility information provided on the relevant product page before purchasing.

Some Mitorioshi resources may require software capable of opening files such as:

  • PDF documents

  • Microsoft Word-compatible documents

  • ZIP archives

Some features may also be designed for use with third-party AI services such as ChatGPT.

Mitorioshi does not guarantee the continued availability or features of any independent third-party software or AI service.

Where we have incorrectly described compatibility or functionality, your statutory consumer rights remain unaffected.

5. Orders and Formation of Contract

When you submit an order, you are offering to purchase the selected digital product.

Your order becomes accepted when we confirm the purchase and payment has been successfully processed.

You should check your:

  • Product selection

  • Email address

  • Price

  • Billing information

before completing your purchase.

We may cancel or refuse an order where reasonably necessary, including where:

  • Payment fails.

  • Fraud or unauthorised payment is suspected.

  • A material pricing or technical error has occurred.

  • The purchase appears to involve misuse or attempted unlawful redistribution.

If we cancel an accepted paid order without supplying the purchased digital content, the amount paid for that order will normally be refunded.

6. Prices and Payment

The price shown when you complete your purchase is the price payable for that order, subject to correction of obvious errors permitted by law.

Applicable taxes will be displayed or handled as required.

Payment is processed using Shopify and/or payment providers available through our store.

Mitorioshi does not normally receive or store your complete payment-card details.

Prices and promotions may change for future orders without affecting orders already accepted.

7. Digital Delivery

Mitorioshi products are normally delivered digitally.

After successful payment, you may receive:

  • A download button.

  • A download link.

  • An order-confirmation email.

  • Another form of electronic access described during checkout.

No physical delivery or shipping is included unless expressly stated.

You are responsible for supplying a valid email address and maintaining reasonable access to your purchased files.

8. Cancellation and Refunds

Digital-content purchases are subject to our separate Refund Policy and applicable consumer law.

Where you request immediate access to paid digital content during the statutory cancellation period, we may ask you to:

  1. Give express consent for supply of the digital content to begin immediately; and

  2. Acknowledge that once supply begins you will lose the applicable statutory cancellation right where the law provides for this.

This does not remove statutory rights relating to digital content that is faulty, not as described or otherwise does not conform to the contract.

9. Licence to Use NovaMind Products

Unless a product or separate licence expressly states otherwise, purchasing a product Mitorioshi gives you a limited, non-exclusive and non-transferable licence to use it.

Individual purchases

You may use the purchased product for:

  • Your own personal productivity.

  • Your own education or study.

  • Your own job applications and career development.

  • Your own professional work.

Business purchases

A product purchased for workplace use may be used internally by the individual licensed user.

Purchasing one copy does not automatically grant an organisation unlimited rights to distribute the product to employees, clients, students or other individuals.

Contact Mitorioshi if you require a team, organisation or multi-user licence.

10. What You May Not Do

Unless Mitorioshi has provided written permission or a different licence, you must not:

  • Resell Mitorioshi products.

  • Redistribute purchased files.

  • Share download links publicly.

  • Upload the products to file-sharing websites.

  • Give copies to other people as a substitute for their own purchase.

  • Sell modified versions of Mitorioshi products.

  • Remove Mitorioshi branding and represent the product as your own.

  • Copy substantial parts of a product to create a competing product.

  • Use Mitorioshi  intellectual property in a misleading or unauthorised manner.

You may edit editable worksheets and templates for your permitted personal or internal professional use.

11. Intellectual Property

Unless otherwise stated, Mitorioshi owns or licenses the intellectual-property rights in its:

  • Branding

  • Logos

  • Product designs

  • Guides

  • Templates

  • Worksheets

  • Original written content

  • Product structures

  • Graphics

  • Website content

  • Other protected materials

Purchasing a product gives you permission to use it under the applicable licence.

It does not transfer ownership of Mitorioshi's intellectual-property rights to you.

Third-party trademarks and services remain the property of their respective owners.

12. AI Tools and AI-Generated Outputs

Some Mitorioshi products contain prompts or workflows designed to be used with artificial-intelligence services.

AI services can generate inaccurate, incomplete or inappropriate information.

You are responsible for reviewing AI-generated outputs before relying on them.

Mitorioshi does not guarantee that using a Mitorioshi product or AI prompt will produce:

  • A particular academic grade.

  • An examination result.

  • Employment.

  • An interview.

  • A promotion.

  • Increased earnings.

  • A particular productivity improvement.

  • Any other guaranteed outcome.

You should not enter confidential, sensitive, legally protected or third-party personal information into an AI service unless you have appropriate authority and have reviewed that service's privacy and security terms.

13. Academic Use

Mitorioshi products are intended to support:

  • Planning

  • Organisation

  • Learning

  • Revision

  • Research management

  • Productivity

They are not intended to enable academic misconduct.

Students remain responsible for:

  • Completing their own assessed work.

  • Verifying references and sources.

  • Following institutional AI policies.

  • Following academic-integrity requirements.

  • Properly acknowledging sources where required.

Do not use Mitorioshi products to fabricate research, references, results, data or academic achievements.

14. Job Applications and Professional Information

Mitorioshi job and career tools are intended to help customers organise and present genuine experience.

You must not use Mitorioshi products to fabricate:

  • Qualifications

  • Employment history

  • Grades

  • Professional registrations

  • Achievements

  • Dates

  • Responsibilities

  • Skills you do not possess

You remain responsible for checking all applications before submitting them.

15. Third-Party Services

Mitorioshi may refer or link to third-party services such as:

  • Shopify

  • ChatGPT

  • Microsoft

  • Payment providers

  • Other software or productivity platforms

These services are operated independently and may have their own:

  • Terms

  • Privacy policies

  • Pricing

  • Availability

  • Usage restrictions

Mitorioshi does not control those independent services and cannot guarantee that their features, prices or availability will remain unchanged.

16. Acceptable Use

You must not use the Mitorioshi website or services:

  • For unlawful or fraudulent purposes.

  • To infringe another person's intellectual-property rights.

  • To distribute malware or malicious code.

  • To interfere with website security.

  • To attempt unauthorised access to accounts or systems.

  • To scrape or systematically copy protected Mitorioshi content for unauthorised commercial use.

  • To impersonate another individual or organisation.

  • To misuse payment systems.

  • To facilitate academic, employment or other fraud.

We may reasonably restrict or terminate access where we reasonably believe these Terms have been materially breached.

17. Reviews and Feedback

If you voluntarily provide NovaMind with a review, suggestion or feedback, you give us permission to use that feedback for legitimate business purposes, including improving and promoting Mitorioshi.

We will not knowingly attribute private feedback publicly to you without appropriate permission where doing so would identify you.

You must not knowingly submit:

  • Fake reviews.

  • Defamatory material.

  • Unlawful content.

  • Content that infringes another person's rights.

18. Errors and Product Information

We aim to keep product descriptions, prices and website information accurate.

Occasionally, errors may occur.

Where we discover a material error, we may correct the information.

If an error materially affects an order that you have already placed, we will handle the matter in accordance with applicable consumer law.

We will not substitute materially different digital content without informing you where your agreement is required.

19. Statutory Consumer Rights

Nothing in these Terms is intended to exclude, restrict or replace rights that cannot legally be excluded or restricted.

UK customers may have statutory rights relating to digital content, including requirements that applicable digital content:

  • Be of satisfactory quality.

  • Be fit for a particular purpose where the legal requirements are met.

  • Match its description.

Appropriate statutory remedies may apply where digital content does not conform to the contract.

20. Disclaimer

Mitorioshi provides productivity and educational-support resources.

While we aim to provide useful, professionally prepared products, results depend on factors outside Mitorioshi's control, including how a customer uses the product.

Mitorioshi products do not constitute:

  • Legal advice.

  • Medical advice.

  • Financial advice.

  • Tax advice.

  • Professional academic assessment.

Where specialist advice is required, you should consult an appropriately qualified professional.

21. Limitation of Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

In particular, nothing is intended to exclude or restrict:

  • Your statutory consumer rights.

  • Liability for death or personal injury caused by negligence where it cannot lawfully be excluded.

  • Liability for fraud or fraudulent misrepresentation.

  • Any other liability that cannot legally be excluded.

Subject to those protections and to the extent permitted by law, Mitorioshi is not responsible for losses that were not reasonably foreseeable when the contract was entered into or that result from your misuse of the products.

If you use a product primarily for business purposes, additional limitations may apply where legally permitted.

22. Suspension or Termination

We may suspend or terminate access to parts of our Services where reasonably necessary because of:

  • Fraud.

  • Security threats.

  • Unlawful activity.

  • Material breaches of these Terms.

  • Unauthorised redistribution of Mitorioshi products.

  • Attempts to compromise our website or systems.

Termination does not affect rights or obligations that arose before termination.

Any provisions that by their nature should continue after termination, including intellectual-property and licence restrictions, will remain applicable.

Your use of Mitorioshi is also governed by our Privacy Policy.

24. Changes to These Terms

We may update these Terms where reasonably necessary because of:

  • Changes to Mitorioshi products or services.

  • Changes to Shopify or other technology providers.

  • Legal or regulatory changes.

The current version will show its Last updated date.

Changes will not retrospectively remove rights relating to purchases already completed where doing so would be unlawful.

Where required by law, we will provide appropriate notice of material changes.

25. Governing Law and Disputes

These Terms are governed by the laws of England and Wales, subject to any mandatory consumer protections that apply to you.

Nothing in this section removes any right you may have as a consumer to bring proceedings in a court that has jurisdiction under applicable law.

26. General Terms

If any part of these Terms is found to be unlawful or unenforceable, the remaining provisions will continue to apply where legally possible.

A failure by Mitorioshi to enforce a provision immediately does not automatically waive our right to enforce it later.

These Terms, together with applicable product information and referenced policies, form the agreement governing your purchase and use of Mitorioshi products.
